Cliff Frank |

Clifford R. Frank began his tenure as President of Vermont Managed Care in January of 2000. Cliff brings with him more than 20 years of healthcare experience with demonstrated abilities in managed care contracting, provider/payor relationships, physician organizations and practices, analysis and evaluation of managed care models and structures.
Cliff has assisted in the development of managed care performance improvement plans for over 75 medical centers throughout the U.S. He also serves as CEO of Firstcare Health Plans, a provider owned health plan in Texas.
He is the former Administrator for Baptist/St. Vincent's Integrated Delivery Organization Mission-Health, and previously the Vice President of Managed Care for Baptist/St. Vincent's Health System.
Prior to joining St. Vincent's, he was a product development consultant for the actuarial firm of Tillinghast, a Towers Perrin Company. Cliff has also held positions as chief operating officer of a provider-owned HMO, director of product development for Blue Cross and group practice administrator.
He has a Masters of Health Services Administration degree from the University of Michigan, a Bachelors degree from UCLA and co-authored a book on managed care payment systems in 2000. |

Barbara H. Drapola, RN, CCM, CPHQ joined VMC in 1994 in a clinical role working in utilization review and care management. Barbara currently has overall responsibility for the operations and clinical areas of the company including Care Management, Customer Service, Credentialing, Provider Relations/Network Development, Finance and Account Management.
Prior joining VMC, Barbara worked in the clinical hospital setting. She has 8 years of nursing experience in the Medical/Surgical and Intensive Care settings. She was a Nurse Coordinator for the Intensive Care Unit at Fanny Allen Hospital before starting in the hospital Utilization Management and Quality Improvement Department where she worked for 4 years.
Barbara earned her Diploma in Nursing from St. Mary's Hospital School of Nursing in New York and is completing her Baccalaureate degree in Healthcare Administration at St. Joseph's College of Maine. She has 16 years experience in Care Management and holds certificates in Case Management (CCM), and Health Care Quality (CPHQ). She is a Diplomate of the American Board of Quality Assurance and Utilization Review Physicians. Barbara served as President of the Green Mountain Chapter of the CMSA for 3 years and was named Case Manager of the Year in 2007. |

James A. Duncan, MD |

James A. Duncan MD joined VMC as Associate Medical Director in April 2001, and was appointed to the Medical Director position in August 2002. He received his MD from Stanford University, did an Internal Medicine Internship at University of Oregon, and completed an emergency Medicine residency at Stanford University Medical Center. He holds board certifications from the American Board of Emergency Medicine and the American Board of Quality Assurance and Utilization Review Physicians. He was Chief of Emergency Medicine at the Fanny Allen Hospital until the creation of Fletcher Allen Health Care, and is currently on the Emergency Department staffs of Fletcher Allen and Northwestern Medical Center. He has been involved in utilization and quality improvement for over 15 years, with hospital utilization committee appointments at Fanny Allen Hospital and Northwestern Medical Center, and with physician reviewer positions with Vermont Health Care Review, HealthPro, Delmarva Foundation, and Northeast Health Care Quality Foundation. |

Susan P. Shane, MD |

Susan P. Shane, MD joined VMC as Associate Medical Director in February 2005. She holds her board certification in Family Practice, attended Medical School at SUNY Upstate Medical Center in Syracuse NY, completed her internship in Internal Medicine at Michael Reese Hospital in Chicago IL and her residency in Family Medicine at the Jacob Holler Family Center/Highland Hospital, Rochester NY. Dr. Shane brings to VMC over 15 years of clinical experience in Vermont, practicing at Thomas Chittenden Health Center in Williston, VT for 10 years and then at UVM's Center for Health and Well being for the next 5 years. She is currently a Staff Physician at the Fletcher Allen Health Care Walk-In Care Center in Colchester, VT and first joined VMC as a member of the Credentials Committee in August 2004.

Thomas Dettre, CPA, MBA |

| Thomas C. Dettre, CPA, MBA, joined VMC as a Senior Financial Specialist in June 1998, and became Financial Operations Manager in July 2001. He received his Bachelor of Science degree in Business from the University of Vermont in 1988 and his Master of Business Administration degree from Bentley College in 1993. He spent several years practicing public accounting, and received his CPA certificate in 1994. Tom has over 14 years of financial and accounting experience in a variety of industries, including high technology, investment management, and health care. In the health care arena, before joining VMC he worked for Blue Cross Blue Shield of Massachusetts and the Spence Centers for Women's Health while gaining experience in budgeting and forecasting, treasury, accounting and reporting, financial analysis, and management. |

Martita I. Giard |

| Director of Network Development & Provider Relations |
Martita I. Giard joined VMC when it was formed in 1991 with a dual role as the office manager for VMC and provider/customer relations for the Network. As the company began to grow, she developed and managed the Customer Service Department and continued the servicing relationship with the Network. In the mid 1990's, the VMC Network expanded as a result of additional payer contracts and Martita was promoted to the role of Director of Network Development & Provider Relations.
Martita has a strong background in physician practice operations having worked at the University Health Center for seven years prior to coming to VMC. In that capacity, she was a liaison with the various clinical practices developing processes to adapt to the requirements of managed care. Martita has a broad knowledge base of managed care operations from having worked with an NCQA reviewer who was the founding President of VMC. Through her tenure with VMC, she has been involved in physician contracting and negotiations, provider servicing and satisfaction, Customer Service, and Payer Relations. Her goal is to ensure superior customer service to the Network. |
